Terms & Conditions
Effective from: 12 August 2026
These Terms & Conditions ("Terms") govern all web design and development services provided by Demipoint Digital ("we", "us", "our") to the client ("you", "your"). By engaging our services, requesting a quote, or making a deposit payment, you agree to these Terms.
1. Services
We provide custom website design and development services, including but not limited to: Landing Pages, Business Sites, Booking Integrations, E-commerce platforms, and Inventory/Listing Platforms, along with optional add-on services as agreed in your quote.
The exact scope of work for your project will be confirmed in writing (via WhatsApp, email, or a written quote) before work begins. Any request outside this agreed scope requires a signed or confirmed Variation Order and must be settled before the add-on is implemented; such work is quoted and billed separately.
2. Quotes & Pricing
- All quotes are based on the information provided by the client at the time of the request. Prices are subject to change if the scope changes.
- Quotes are valid for 14 days from the date issued, unless otherwise stated.
- All prices are in South African Rand (ZAR) unless otherwise agreed.
3. Deposits & Payment
- All projects require a 50% deposit before work begins, with the remaining 50% due upon project completion, before final handover of the live site and/or source files. The deposit secures your project's place in our schedule and covers initial discovery, architecture, and preliminary development work.
- Work will not begin until the deposit has been received and cleared.
- The final deliverable (live site access, source code, or hosting handover) will only be released once the outstanding balance has cleared in full in our account.
- Accepted payment methods will be confirmed at the time of invoicing (e.g. EFT, bank transfer).
4. Cancellations & Refunds
- If you cancel the project after the deposit has been paid, Demipoint Digital shall retain the deposit to cover the time, scheduling, and preliminary work already committed up to the date of written cancellation. If the value of work performed exceeds the deposit amount, a pro-rata invoice will be issued for the work completed.
- If you cancel before any work has begun, a partial refund may be considered at our discretion, minus any administrative or planning time already spent.
- If a client fails to provide required assets, feedback, or approvals for 21 consecutive days without prior agreement, the project is moved to "On Hold / Inactive" status. Reactivating an inactive project incurs a fixed Restart Fee (R500–R1,000) to re-queue the build into our active schedule.
- If a project remains inactive for 60 consecutive days, this agreement automatically terminates. The deposit is forfeited to cover work performed, and any further work will require a new quote.
5. Revisions
- Each project tier includes a set number of revision rounds, as specified in your quote.
- A "revision round" means one consolidated round of feedback and the corresponding changes made in response.
- Revisions beyond the included number, or changes that go beyond the originally agreed scope, will be quoted and billed separately at our standard rate.
6. Timelines
Project timelines will be estimated at the quoting stage and confirmed once the deposit is received. Timelines are estimates and may shift due to delayed client feedback, late content delivery, or scope changes requested by the client. We will communicate proactively if a timeline is affected.
7. Client Responsibilities
- You agree to provide necessary content (text, images, logos, branding materials) in a timely manner where content is not part of the agreed scope.
- You are responsible for the accuracy of all information, images, and content you provide.
- Delays in providing required content or feedback may affect the agreed project timeline.
8. Ownership & Source Files
- Upon full and final payment, ownership of the completed website (design and code created specifically for your project) transfers to you.
- Source files and/or hosting access will be provided upon final payment, unless a separate maintenance or hosting management agreement is in place.
- Any third-party tools, licenses, plugins, or platforms used (e.g. booking systems, payment gateways) remain subject to their own separate terms and are not owned by Demipoint Digital.
- The Client grants Demipoint Digital a non-exclusive, royalty-free, perpetual license to display the completed website, screenshots, and publicly accessible assets (logos, text, and public gallery images) in Demipoint Digital's portfolio, website (demipoint.tech), and marketing channels for promotional purposes. The Client may opt out of portfolio feature rights by providing written notice prior to project completion. We will always strip any private, non-public information (personal phone numbers, private addresses, financial records) before showcasing a project.
9. Maintenance & Support
Standard projects include a post-launch support window of 7–14 days (as specified in your quote) to fix any bugs directly related to the original build. This window constitutes our express quality warranty for the work delivered. It does not include new features, content changes, or design changes, which fall under our maintenance/add-on pricing.
- Pay-as-you-go maintenance: available for all clients, billed per batch of changes, no monthly commitment required.
- Monthly maintenance plans: optional recurring plans available for clients with higher update needs, covering hosting/security monitoring and a set number of included changes per month, as agreed separately.
- Maintenance and change requests are handled within a reasonable turnaround time (typically within 1–3 business days) and are not guaranteed to be completed immediately or same-day. Urgent requests requiring faster turnaround may incur an additional fee, where possible.
10. Security
We take reasonable care to build secure, well-structured websites. However, we are not responsible for security breaches, hacking, or data loss resulting from third-party hosting providers, browser extensions, weak client-side passwords, or actions taken by the client or their staff outside of our control. If a security issue arises directly from the original build itself, we will address it as part of the post-launch support window described above.
11. Limitation of Liability
We aim to deliver high-quality, functional websites, but we do not guarantee specific business outcomes (e.g. sales, leads, search engine rankings) as these depend on many factors outside our control. We are not liable for losses resulting from third-party service outages (hosting providers, payment gateways, booking platforms) beyond our reasonable control. Our total liability arising from any project, however caused, is limited to the total amount actually paid by the Client for that project.
12. Confidentiality
Any business information shared with us during the course of a project will be treated as confidential and will not be shared with third parties, except where necessary to complete the agreed work (e.g. integrating a third-party booking tool).
13. Amendments
We may update these Terms from time to time. The version in effect at the time you engage our services will apply to your project.
